An ESOP transaction can be an efficient and flexible means for providing shareholders of private companies with liquidity for diversification. There are unique tax benefits that ESOPs can provide; however, it is essential for business owners to properly plan and structure the transaction. Finally, cost-plus Govt. contractors can yield even greater benefits by receiving reimbursement on ESOP contributions paid by the company.
